The PE diligence AI stack: How top funds run M&A due diligence in two weeks instead of six

Mid-market LBO due diligence can run 45 to 60 days, with more complex deals stretching to 90 days or more.

Why due diligence timelines are collapsing

The shortening of timelines has nothing to do with cutting corners. The rigor of M&A due diligence today is the same as it's always been; the difference is that deal teams are gaining efficiency from an increasing set of AI tools.

Normally, each step in the diligence process must wait for the step before it to finish. For example, triaging the data room must happen before spreading begins, which occurs before QoE reconciliation starts. Each handoff costs time even when the underlying work itself is fast.

With today’s tools, teams can execute their diligence workflows in parallel with live data, compressing the time it takes to move from one step to the next.

The layers of a modern PE diligence stack

Five categories make up the modern PE diligence toolkit. Each layer addresses a specific point in the workflow and can be powered today by tooling purpose-built for each step.

Layer 1: Data room ingestion and classification

Before any analysis can start, somebody has to turn the data room into a workspace that the deal team can actually navigate. In the old workflow, that meant an associate spent the first several days renaming files, hunting down the latest version of the CIM, and building a working index by hand. The platform now does this in under an hour: every file classified by content, duplicates resolved, and missing materials flagged against an LBO diligence checklist.

Layer 2: Financial extraction and Excel-native reasoning

The seller's Excel model is where the target's actual financials live, and getting them out of it cleanly is the foundation for everything else. Traditionally, an associate rebuilt the historical P&L, balance sheet, and cash flow line by line, reconciling against the QoE and normalizing the seller's idiosyncratic line-item labels into the firm's chart of accounts — work that could eat up the better part of a week. The platform now reads the seller's model directly, follows formula chains across tabs, and produces a spread already mapped to the firm's standard chart of accounts.

The best platform for extraction should open live .xlsx files and evaluate formulas deterministically rather than converting spreadsheets to flat text. Layer 3: QoE reconciliation and risk flagging

There are usually four versions of the target's earnings on the table — reported, management-adjusted, QoE-adjusted, and the sponsor's own working figure — and reconciling them is how deal teams understand the true earnings. There are also risks buried in the contracts, employment agreements, and litigation files that nobody's going to find by skimming. Both used to fall to an associate working through the addbacks one at a time and reading the document set page by page. Now the platform traces every addback to its supporting document, reads the contracts in parallel, and surfaces the clauses worth flagging on its own.

Building it from scratch was a multi-day exercise; running two or three sensitivity scenarios meant building two or three standalone tabs; changing a single input meant rebuilding every downstream output by hand. Sensitivity analysis should run across multiple variables in a single working session rather than requiring separate tabs for each scenario, and the debt schedule should reconcile with the lender’s actual committed terms rather than a generic template.

Layer 5: IC memo generation and lender model hand-off

By the time the deal reaches Layer 5, the diligence work is essentially done. What's left are the two final deliverables: the sponsor's IC memo and the clean lender-facing model. These traditionally sat at the end of the workflow because each section depended on a completed input from upstream — meaning a late-stage change to a single assumption forced a manual rebuild of multiple documents. The platform now generates the memo from the underlying analysis and keeps both deliverables synchronized as the assumptions upstream evolve.

The platform should produce the IC memo and the lender-facing model from the same underlying analysis, so a single assumption change updates both deliverables together. Source traceability should run from every claim in the memo through the formula that produced it to the source cell or document page — a generic citation to the containing file is not the same thing as a defensible audit trail.

How the layers integrate into a working stack

A good diligence stack is able to address each part of the workflow because the five layers depend on each other to transmit information back and forth in a single cohesive chain.
